Legal basis for harmonisation of Ukrainian legislation on the protection of commercial secrets with EU law

Abstract
The article examines the peculiarities of legal protection of commercial secrets under Ukrainian and EU law, reviews the practice of law enforcement in the field of protection of commercial secrets, and identifies shortcomings in the legal regulation of this area of social relations in the context of harmonisation of national legislation with EU law. Based on the analysis and taking into account foreign experience, conclusions and proposals are formulated to improve the national system of legal regulation of relations in the field of obtaining, using, and disclosing commercial secrets.

In particular, the article notes that in the current legislation of Ukraine, the system of intellectual property rights protection for trade secrets is currently in the stage of formation and development. The norms aimed at ensuring the legal protection of trade secrets are enshrined in regulatory legal acts of various legal force and industry affiliation.

Under EU law, the protection of trade secret rights is ensured by Directive (EU) 2016/943 of the European Parliament and of the Council of 8 June 2016 on the protection of undisclosed know-how and business information (trade secrets) against their unlawful acquisition, use and disclosure. The article examines the peculiarities of legal protection of trade secrets under Ukrainian and EU law, reviews the practice of law enforcement in the field of trade secret protection in the context of harmonisation of national legislation with EU law.

Ukrainian legislation  has a number of shortcomings and contradictions due to the different nature and sectoral affiliation of commercial secrecy rules. In view of the above, a draft Law of Ukraine ‘On the Protection of Trade Secrets’ was prepared, the provisions of which were presented during a public discussion in 2025. The draft law was prepared with the aim of implementing Directive (EU) 2016/943 of the European Parliament and of the Council of the European Union and is aimed at regulating relations regarding the protection of trade secrets, in particular, know-how and undisclosed business information, from their unlawful acquisition, use and disclosure, including protection against unfair competition.
