On the protection of rights and interests under an agreement on the transfer of rights to industrial property objects

Abstract
The practice of protecting the rights and interests of the acquirer under an agreement on the transfer of industrial property rights has been studied, and proposals have been developed to improve the legislation on these issues and to choose an effective method of protection. It has been established that in practice, the acquirer of rights cannot always realize his interests and become a full-fledged rightsholder of the relevant industrial property object. Situations arise when, after agreeing on the transfer of intellectual property rights, the acquirer is faced with the impossibility of becoming a rightsholder, in particular, due to the refusal of the authorized body to re-register the owner. Judicial practice on resolving these issues has not yet become established. It is proposed to introduce a procedure for state registration of encumbrances of industrial property rights, to determine the grounds for refusing to conduct state registration of the transfer of these rights. It has been proven that determining an appropriate and effective method of protecting the rights of the acquirer should take place in the context of the contractual obligations of the parties to the agreement.
